Opinion of Counsel for Issuer. AOL shall have received an opinion dated ------------------------------ the Closing Date from counsel for Issuer in the form of the opinion attached hereto as Schedule G. In giving such opinion, counsel to Issuer may rely on certificates of senior officers of Issuer as to factual matters provided such certificates are attached to the opinion. Such opinion shall also cover such other matters as AOL or its counsel may reasonably request. This condition only applies to the First Closing.

Opinion of Counsel for Issuer. At the Closing Time, the Representatives shall have received the favorable opinions, dated the Closing Time, of the Ministry of Justice of Nigeria, Xxxxxx & Xxxxxx Xxxx Xxxxxxx LLP, United States counsel for the Issuer, and Xxxxxxxx Xxxxx LP, Nigerian counsel for the Issuer, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letters for each of the other Underwriters to the effect set forth in Exhibits A, B and C hereto. .

Opinion of Counsel for Issuer. At Closing Time, the Representatives shall have received the favorable opinion, dated as of Closing Time, of Sidley Austin LLP, counsel for the Issuer, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for Issuer. The Purchasers shall have received opinions, dated the Closing Date, of (i) Xxxx Xxxxxxx LLP, counsel for the Issuer and the Guarantors (other than International Mill Service, Inc.) in the form of Annex A-1 attached hereto, (ii) Xxxx Xxxxxx, counsel to International Mill Service, Inc. in the form of Annex A-2 attached hereto and (iii) Xxxxxx X. Xxxxxxx, counsel to Tube City, LLC in the form of Annex A-3 attached hereto.

Opinion of Counsel for Issuer. The Placement Agent shall have received on the Closing Date opinions of Skadden, Arps, Slate, Xxxxxxx and Xxxx LLP, counsel for the Issuer, dated the Closing Date, in form and substance reasonably satisfactory to the Placement Agent and its counsel.

Opinion of Counsel for Issuer. Subscriber shall have received an opinion dated the Closing Date from counsel for Issuer in the form of the opinion attached hereto as Schedule K. In giving such opinion, counsel to Issuer may rely on certificates of senior officers of Issuer as to factual matters provided such certificates are attached to the opinion. Such opinion shall also cover such other matters as Subscriber or its counsel may reasonably request.

Related to Opinion of Counsel for Issuer

Opinion of Counsel for U S. Underwriters. The favorable opinion of Vinsxx & Xlkixx X.X.P., counsel for the U.S. Underwriters, dated such Date of Delivery, relating to the U.S. Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of Counsel for Company At Closing Time, the Representative shall have received the favorable opinion, dated as of Closing Time, of Xxxxxx, Xxxxx & Xxxxxxx LLP, counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of counsel for Fund (1) With respect to the status of the shares of Fund in the new form under the Securities Act of 1933, and any other applicable federal or state laws.
Opinion of Counsel for the Company On each of the First Closing Date and each Option Closing Date, the Representative shall have received the opinion of Xxxxxxxx & Xxxxx LLP, U.S. counsel for the Company, dated as of such date, in form and substance satisfactory to the Representative.
Opinion of Counsel for Buyer The Seller shall have received a favorable opinion from counsel for the Buyer dated the date of the Closing, in form satisfactory to counsel for the Seller, to the effect that:

Opinion of Counsel, Etc At the Closing, the Purchasers shall have received an opinion of counsel to the Company, dated the date of the Closing, in the form of Exhibit G hereto, and such other certificates and documents as the Purchasers or its counsel shall reasonably require incident to the Closing.
Opinion of Counsel for Underwriter The Underwriter shall have received from Xxxxxx & Xxxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing Date, with respect to such matters as the Underwriter may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.
Opinion of Counsel for Underwriters If requested by the Representatives, the favorable opinion of Xxxxxx & Xxxxxxx LLP, counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(d) hereof.
Opinion of Counsel to the Company The Placement Agent shall have received from, Xxxxxx & Xxxxxxx LLP, such counsel’s written opinion, addressed to the Placement Agent and the Investors and dated the Closing Date, in form and substance as is set forth on Exhibit D attached hereto. Such counsel shall also have furnished to the Placement Agent a written statement, addressed to the Placement Agent and dated the Closing Date, in form and substance as set forth in Exhibit E attached hereto.
