Opinion of Counsel to the Issuer. The Representative shall have received an opinion of Xxxxxxxx, Xxxxxx & Finger, special Delaware counsel to the Issuer, subject to customary qualifications, assumptions, limitations and exceptions dated the Closing Date, in form and substance satisfactory to the Representative and its counsel, with respect to certain matters relating to the Issuer and the establishment thereof.

Opinion of Counsel to the Issuer. An opinion of general counsel to the Issuer, substantially in the form attached hereto as Exhibit C;
Opinion of Counsel to the Issuer. The Issuer shall deliver to the Trustee: (a) promptly after the execution and delivery of this Indenture, an Opinion of Counsel either stating that in the opinion of such counsel this Indenture has been properly recorded and filed so as to make effective the lien intended to be created thereby, and reciting the details of such action, or stating that in the opinion of such counsel no such action is necessary to make such lien effective; and (b) on June 30 of each year, an Opinion of Counsel either stating that in the opinion of such counsel all such action has been taken with respect to the recording, filing, re-recording, and refiling of this Indenture and the Collateral Documents as is necessary to maintain the lien of this Indenture and the Collateral Documents, and reciting the details of such action, or stating that in the opinion of such counsel no such action is necessary to maintain such lien.
Opinion of Counsel to the Issuer. The opinion of General Counsel for the Issuer, dated the Initial Remarketing Date and addressed to the Remarketing Agent, the Trustee and the Bank, in substantially the form of Appendix D attached hereto.

  • Opinion of Counsel to the Company The Placement Agent shall have received from, Xxxxxx & Xxxxxxx LLP, such counsel’s written opinion, addressed to the Placement Agent and the Investors and dated the Closing Date, in form and substance as is set forth on Exhibit D attached hereto. Such counsel shall also have furnished to the Placement Agent a written statement, addressed to the Placement Agent and dated the Closing Date, in form and substance as set forth in Exhibit E attached hereto.

  • Opinion of Counsel to the Borrower A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Dechert LLP, counsel for the Obligors, in form and substance reasonably acceptable to the Administrative Agent and covering such matters as the Administrative Agent may reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
