Common use of Opinion of Intellectual Property Counsel for the Company Clause in Contracts

Opinion of Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion and negative assurance letter of Mxxxxxxx & Fxxxxxxx LLP, intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.

Opinion of Intellectual Property Counsel for the Company. On the Closing Date, the Representative shall have received the opinion and negative assurance letter of Mxxxxxxx & Fxxxxxxx Cxxxxx LLP, intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the Representative.

Opinion of Intellectual Property Counsel for the Company. On the Closing Date, the Representative Representatives shall have received the opinion and negative assurance letter of Mxxxxxxx & Fxxxxxxx Xxxxxxx Procter LLP, intellectual property counsel for the CompanyCompany with respect to intellectual property matters, dated the Closing Date, addressed to the Representativeas of such date, in the form previously agreed to by, and substance reasonably satisfactory to to, the RepresentativeRepresentatives.

On the Closing Date, the Representative shall have received the opinion and negative assurance letter of Mxxxxxxx Xxxxxx Xxxx & Fxxxxxxx Xxxxxxx LLP, intellectual property counsel for the Company, dated the Closing Date, addressed to the Representativeas of such date, in the form and substance reasonably satisfactory agreed to amongst the Representativeparties.

On each of the First Closing Date and each Option Closing Date, the Representative Representatives shall have received the opinion and negative assurance letter of Mxxxxxxx & Fxxxxxxx Gxxxxxx Procter LLP, intellectual property counsel for the Company, dated the Closing Date, addressed to the Representative, in form and substance reasonably satisfactory to the RepresentativeRepresentatives, dated as of such date.
