Common use of Opinion of IP Counsel for the Company Clause in Contracts

Opinion of IP Counsel for the Company. Dechert LLP, intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E-1 hereto.

Opinion of IP Counsel for the Company. Dechert Xxxxx & Lardner LLP, intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E-1 A-2 hereto.

Opinion of IP Counsel for the Company. Dechert LLPXxxxxxx Xxxxxxxxxx & Partner Patentanwälte, intellectual property counsel for the Company, shall have furnished to the RepresentativesRepresentative, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to Representative and previously agreed upon with the effect set forth in Annex E-1 heretoRepresentative.

Opinion of IP Counsel for the Company. Dechert LLPXxxxxxx Xxxxxxxxxx & Partner Patentanwälte, intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives and previously agreed upon with the Representatives, to the effect set forth in Annex E-1 hereto.

Opinion of IP Counsel for the Company. Each of Dechert LLP and Xxxxxxx Procter LLP, intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E-1 and Annex E-2 hereto, respectively.

Opinion of IP Counsel for the Company. Dechert LLPXxxxxxx Partner Ltd., intellectual property counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex E-1 hereto.
