Common use of Opinion of Japanese Counsel for Company Clause in Contracts

Opinion of Japanese Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated as of the Closing Time, of Mitsui Company, Japanese counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such opinion for each of the other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Japanese Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated as of the Closing Time, of Mitsui Company, Japanese counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such opinion letter for each of the other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.

At the Closing Time, the Representatives shall have received the favorable opinionopinion and a letter, dated as of the Closing Time, of Mitsui CompanyNagashima Ohno & Tsunematsu, Japanese counsel for the Company, the BSPC, the Securities Trustee and the Securities Sub-trustee, in form and substance satisfactory to counsel for the International Underwriters, together with signed or reproduced copies of such opinion letter for each of the other International Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the International Underwriters may reasonably request.
