Common use of Opinion of Maryland Counsel for Company Clause in Contracts

Opinion of Maryland Counsel for Company. On the date of this Agreement, the Agents and the Forward Purchasers shall have received the favorable written opinion or opinions of Xxxxxxx LLP, Maryland counsel for the Company, dated such date, to the effect set forth in Exhibit F hereto and to such further effect as the Agents and the Forward Purchasers may reasonably request. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Transaction Entities and their respective subsidiaries and certificates of public officials.
