Common use of Opinion of Tax Counsel for Company Clause in Contracts

Opinion of Tax Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hunton & Xxxxxxxx LLP, tax counsel for the Company, together with signed or reproduced copies of such letter for each of the other Underwriters substantially in the form attached as Exhibit A-2 hereto.

Opinion of Tax Counsel for Company. At the Closing Time, the Representatives Representative shall have received the favorable opinion, dated as of the Closing Time, of Hunton Xxxxxx & Xxxxxxxx Xxxxxx LLP, tax counsel for the Company, together with signed or reproduced copies of such letter for each of the other Underwriters substantially in the form of Exhibit B attached hereto. Such counsel may also state that insofar as Exhibit A-2 heretosuch opinion involves factual matters, it has relied, to the extent it deems proper, upon certificates of officers of the Company.

At the Closing Time, the Representatives Representative shall have received the favorable opinion, dated the as of Closing Time, of Hunton Mayer, Brown, Rxxx & Xxxxxxxx Maw LLP, tax counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters substantially to the effect set forth in the form attached as Exhibit A-2 B hereto.

At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Hunton XxXxxxxxx Will & Xxxxxxxx Xxxxx LLP, tax counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters substantially to the effect set forth in the form attached as Exhibit A-2 heretohereto and to such further effect as counsel to the Underwriters may reasonably request.
