Common use of Opinion of U.S. Counsel for Company Clause in Contracts

Opinion of U.S. Counsel for Company. At the Closing Time, the Underwriter shall have received the opinion, dated the Closing Time, of Xxxxxx, Xxxx & Xxxxxxxx, U.S. counsel for the Company, in form and substance reasonably satisfactory to the Underwriter.

Opinion of U.S. Counsel for Company. At the Closing Time, the Underwriter Representative and the Underwriters shall have received the favorable opinion, including negative assurance statement, dated as of the Closing Time, of Xxxxxx, Xxxx & XxxxxxxxJxxxx Day, U.S. counsel for the Company, in form and substance reasonably satisfactory to counsel for the UnderwriterUnderwriters.

Opinion of U.S. Counsel for Company. At the Closing Time, the Underwriter shall have received the favorable opinion, dated the as of Closing Time, of XxxxxxArent Fox Xxxxxxx Xxxxxxx & Xxxx, Xxxx & XxxxxxxxPLLC, U.S. counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriter, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of U.S. Counsel for Company. At the Closing Time, the Underwriter shall have received the favorable opinion, dated the Closing Time, of Xxxxxx, Xxxx Ropes & XxxxxxxxGray LLP, U.S. counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriter.
