Opinions of Counsel, Etc. At the Closing, the Purchaser shall have received an opinion of (i) U.S. counsel to the Company, dated the date of the Closing, in substantially the form of Exhibit H hereto, and such other certificates and documents as the Purchaser or its counsel shall reasonably require incident to the Closing,
Opinions of Counsel, Etc. At the Closing, the Purchasers shall have received an opinion of (i) Axxxxx & Jxxxxx, LLP, securities counsel to the Company, dated the date of the Closing, in substantially the form of Exhibit J; and (ii) Han Kun Law Offices, PRC counsel to the PRC Subsidiary, dated the date of the Closing with respect to such matters as the Purchasers may reasonably request.
Opinions of Counsel, Etc. At the Closing, the Purchasers and the Placement Agent shall have received an opinion of Nevada legal counsel, U.S. counsel to the Company and an opinion of BVI counsel to Chine Victory, dated the date of the Closing, in substantially the form of Exhibit H hereto, and such other certificates and documents as the Purchasers or its counsel shall reasonably require incident to the Closing. Three (3) days prior to Closing, the Purchasers shall have received an opinion of PRC counsel to the PRC Subsidiaries, dated the date of the Closing with respect to the Share Exchange Agreement and such other matters as the Purchasers may reasonably request.

Four (4) days prior to Closing, the Purchaser shall have received an opinion of PRC counsel to Shen Kun, dated the date of the Closing with respect to the Restructuring Agreements and such other matters as the Purchaser may reasonably request.
Opinions of Counsel, Etc. At the Closing, counsel to Parent shall deliver to the Majority Qinba Shareholders an opinion of counsel substantially in the form of Exhibit A.

Opinions of Counsel, Etc. At the Closing, counsel to USTP shall deliver to the the APPI Shareholders an opinion of counsel in substantially in the form of Exhibit B attached hereto. Section 5.8
