On the Closing Date, the Underwriter shall have received the favorable written opinion of Company’s PRC Counsel, in form satisfactory to the Underwriter and Underwriter Counsel, dated as of the Closing Date and addressed to the Underwriter.

Cowen shall have received from (i) Shearman & Sterling LLP, U.S. counsel for Cowen, and (ii) Jingtian & Gongcheng, PRC Counsel for Cowen, such opinions and negative assurance letters, as applicable, on or before the date on which the delivery of the Company Counsel Legal Opinions are required pursuant to Section 7(n), with respect to such matters as Cowen may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.
