Opinions of Counsels for the Company. The Underwriters shall have received (i) an opinion and 10b-5 letter, each dated such Closing Date, of Xxxxx Xxxx & Xxxxxxxx LLP, U.S. counsel for the Company, (ii) an opinion, dated such Closing Date, of Xxxxxxx Xxxx & Xxxxxxx Limited, special Bermuda counsel to the Company and (iii) an opinion, dated such Closing Date, of Xxxxx Xxxxxxx, General Counsel of the Company, each, in form and substance acceptable to the Underwriters.
Opinions of Counsels for the Company. On each of the First Closing Date and each Option Closing Date the Underwriter shall have received the opinion of:
(i) Akin Gump Xxxxxxx Xxxxx & Xxxx LLP, counsel for the Company, dated as of such Closing Date, the form of which is attached as Exhibit A; and
(ii) Xxxxxxxx X. Xxxx, general counsel of the Company, dated as of such Closing Date, the form of which is attached as Exhibit B.
Opinions of Counsels for the Company. The Placement Agent shall have received on each Closing Date: (i) the favorable opinion of US legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (ii) the favorable opinion of Israeli legal counsel to the Company, dated as of such Closing Date, in form and substance satisfactory to the Placement Agent and (iii) the favorable opinion of intellectual property legal counsel to the Company, including, without limitation, a negative assurance letter, addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent.
Opinions of Counsels for the Company. The Placement Agent shall have received on each Closing Date: (i) the opinion of US legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (ii) the opinion of British Virgin Islands legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (iii) the opinion of People’s Republic of China legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent.
Opinions of Counsels for the Company. The Placement Agent shall have received opinions, dated the Closing Date, of Kxxxxxxx & Exxxx LLP and Dxxxx Xxxxxx & Sxxxxx LLP, each a counsel for the Company, in form and substance satisfactory to you.
Opinions of Counsels for the Company. Xxxxxxx, Esq., General Counsel of the Company, each, in form and substance acceptable to the Underwriters.
Opinions of Counsels for the Company. The Placement Agents shall have received on the Closing Date: (i) the opinion of Xxxxxxxx & Worcester LLP, US legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agents and in form and substance satisfactory to the Placement Agents, (ii) the opinion of Xxxxxxxx & Worcester Tel-Aviv (Har-Even & Co.), Israeli legal counsel to the Company, dated as of the Closing Date, and a legal opinion of Xxxxxx & Associates PC, special intellectual property counsel to the Company, substantially in the form and substance reasonably acceptable to the Placement Agents.
Opinions of Counsels for the Company. The Representatives shall have received (i) an opinion and 10b-5 letter, each dated such Closing Date, of Xxxxx Xxxx & Xxxxxxxx LLP, U.S. counsel for the Company and special counsel to the Management Selling Shareholders, in the form of Schedule F hereto, (ii) an opinion, dated such Closing Date, of Xxxxxxx Xxxx & Xxxxxxx Limited, Bermuda counsel to the Company, in the form of Schedule G hereto, (iii) an opinion, dated such Closing Date, of Kojo Bentsi-Enchill, Ghanaian counsel to the Company, in the form of Schedule H hereto and (iv) an opinion, dated such Closing Date, of Xxxxx X. Xxxxxxx, Esq., General Counsel of the Company, in the form of Schedule I hereto.
Opinions of Counsels for the Company. The Placement Agent shall have received on each Closing Date: (i) the opinion of US legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (ii) the opinion of Cayman Islands legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (iii) the opinion of regulatory legal counsel to the Company, dated as of such Closing Date, including, without limitation, a negative assurance letter addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (iv) the opinion of intellectual property legal counsel to the Company, including, without limitation, a negative assurance letter, addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent, (v) and the opinions of legal counsel to each of the Company’s Subsidiaries, dated as of such Closing Date addressed to the Placement Agent and in form and substance satisfactory to the Placement Agent.
Opinions of Counsels for the Company. The Representatives shall have received opinions, dated such Closing Date, (i) of Akin Gump Xxxxxxx Xxxxx & Xxxx LLP, counsel for the Company, as to the matters described in Schedule C hereto, and (ii) of Xxxx, Weiss, Rifkind, Xxxxxxx & Xxxxxxxx LLP, counsel for the Company, as to the matters described in Schedule D hereto.
