Option Exercise Prices. Each of the Company, Parent, Sub and the Securityholder Parties hereby covenant and agree that, notwithstanding any other provision set forth in this Agreement, (a) the Company and certain Optionholders may agree to amend the terms of certain Options to lower the exercise price per share of Common Stock for such Options, (b) any such amendment shall not be a breach of any other term or provision of this Agreement and shall not require the consent or waiver of any person other than the Company and such Optionholder(s), and (c) each of the Company, Parent, Sub and the Securityholder Parties hereby release each other from any liability they would otherwise have under this Agreement or otherwise solely as a result of the execution and delivery and operation of any such amendment, provided, that no such amendment will increase the aggregate Merger Consideration payable hereunder nor decrease the Per Share Merger Consideration.
Option Exercise Prices. (i) The per Share exercise price under an Incentive Stock Option shall be as follows: (A) If granted to a Partner who, at the time of the grant of such Incentive Stock Option, owns shares representing more than ten percent (10%) of the voting power of all classes of shares of the Company or any Parent or Subsidiary, the per Share exercise price shall be no less than 110% of the Fair Market Value per Share on the date of grant. (B) If granted to any other Partner, the per Share exercise price shall be no less than 100% of the Fair Market Value per Share on the date of grant. (ii) The per Share exercise price under a Nonqualified Stock Option or SAR shall be no less than one hundred percent (100%) of the Fair Market Value per Share on the date of grant. (iii) In no event shall the Board or the Committee be permitted to Reprice an Option after the date of grant without shareholder approval.

In any such case, if necessary, appropriate adjustments will be made in the application of the provisions of this Article Four relating to the rights and interest thereafter of the Holders of the Warrants so that the provisions of this Article Four will be made applicable as nearly as reasonably possible to any shares or other securities deliverable after the Reorganization on the exercise of the Warrants. The subdivision or consolidation of shares at any time outstanding into a greater or lesser number of shares (whether with or without par value) will not be deemed to be a Reorganization for the purposes of this clause 4.8(a)(ii). (b) The adjustments provided for in this Section 4.8 are cumulative and will become effective immediately after the record date or, if no record date is fixed, the effective date of the event which results in such adjustments.

  • Minimum Adjustment of Exercise Price No adjustment of the Exercise Price shall be made in an amount of less than 1% of the Exercise Price in effect at the time such adjustment is otherwise required to be made, but any such lesser adjustment shall be carried forward and shall be made at the time and together with the next subsequent adjustment which, together with any adjustments so carried forward, shall amount to not less than 1% of such Exercise Price.
