The "Option Exercise Prices" clause defines the specific prices at which an option holder can purchase or sell the underlying asset when exercising their option rights. Option Exercise Prices. This Option may be exercised at the option price of $16.25 per share of Stock, subject to adjustment as provided herein.
Option Exercise Prices. Each of the Company, Parent, Sub and the Securityholder Parties hereby covenant and agree that, notwithstanding any other provision set forth in this Agreement, (a) the Company and certain Optionholders may agree to amend the terms of certain Options to lower the exercise price per share of Common Stock for such Options, (b) any such amendment shall not be a breach of any other term or provision of this Agreement and shall not require the consent or waiver of any person other than the Company and such Optionholder(s), and (c) each of the Company, Parent, Sub and the Securityholder Parties hereby release each other from any liability they would otherwise have under this Agreement or otherwise solely as a result of the execution and delivery and operation of any such amendment, provided, that no such amendment will increase the aggregate Merger Consideration payable hereunder nor decrease the Per Share Merger Consideration.
Option Exercise Prices. (i) The per Share exercise price under an Incentive Stock Option shall be as follows:
(A) If granted to a Partner who, at the time of the grant of such Incentive Stock Option, owns shares representing more than ten percent (10%) of the voting power of all classes of shares of the Company or any Parent or Subsidiary, the per Share exercise price shall be no less than 110% of the Fair Market Value per Share on the date of grant.
(B) If granted to any other Partner, the per Share exercise price shall be no less than 100% of the Fair Market Value per Share on the date of grant.
(ii) The per Share exercise price under a Nonqualified Stock Option or SAR shall be no less than one hundred percent (100%) of the Fair Market Value per Share on the date of grant.
(iii) In no event shall the Board or the Committee be permitted to Reprice an Option after the date of grant without shareholder approval.
