Ordered Services. The Service Provider must: perform the Ordered Services: strictly in accordance with the scope outlined in the Order; to a standard recognised as a high professional standard by professional advisers performing similar work; comply with all applicable Finance, Commonwealth and industry policies, standards and guidelines; comply with the time frame for the performance of the Ordered Services specified through the Order process; submit invoices and any required supporting documentation in the manner specified in clause 3.1; and obtain all approvals and licences necessary to perform the Ordered Services in accordance with this Contract. The Service Provider must keep adequate books and records, in accordance with Australian accounting standards, in sufficient detail to enable the amounts payable by Finance under a Contract to be determined.
Ordered Services. The scope or type of Services to be provided to You, the pricing for such Services and other information specific to Your order of Services will be set forth in a sales order form provided by Bitglass and accepted by You (“Your Order Form”); provided, however, that if You are a Starter License subscriber, the scope of services and pricing applicable to Your subscription will be as described in Section 1.4 . Bitglass will use its commercially reasonable efforts to provide the Services set forth in Your Order Form, or the Services described in Section 1.4 with respect to a Starter License, during Your subscription term pursuant to the terms, and subject to the conditions, set forth in this Agreement and Your Order Form. If You request modifications to the scope of Services that Bitglass provides to You either during an existing subscription term or upon the commencement of a new subscription term, and Bitglass agrees to the modifications, Bitglass thereafter will provide You with a revised version of Your Order Form (or, in the case of Starter License subscribers, a new sales order form) setting forth the modified scope of Services and, if applicable, modified pricing for such modified scope of Services and the date upon which such modified scope of Services and modified pricing will become effective. If there is a conflict between the terms of this Agreement and Your Order Form, Your Order Form will govern.

Ordered Services. Vendor will (a) perform Ordered Services in accordance with this Agreement and the applicable Purchase Order and shall use its reasonable endeavours to work within the Company Ordering Party’s timescales (provided always that it is for the Company Ordering Party to determine the relative priorities of Personnel resources in accordance with the agile process described in Exhibit A and that accordingly time shall not be of the essence); (b) perform and/or deliver all Ordered Services in a good and workmanlike manner in accordance with applicable industry standards; (d) use its reasonable efforts to meet or exceed the Key Performance Indicators (“KPIs”) applicable to measure Vendor’s performance of Ordered Services (but the Company Ordering Party acknowledges that the Vendor’s ability to do so will be impacted by the priorities set in accordance with the agile process described in Exhibit A and access to Company Party’s systems and data); (e) pay all applicable costs, including for supplies, fuel, uniforms, equipment, machinery, repairs, transportation, material, labor, insurance premiums, salaries, employment, payroll and other taxes, for or related to (i) Personnel and Subcontractors; (ii) performance of the Ordered Services; and (iii) the transactions contemplated under this Agreement; (f) obtain at its own expense all applicable permits, approvals, licenses and inspection;
Ordered Services. Vendor represents and warrants for itself and Vendor Parties that that the work undertaken by Personnel in respect of the Ordered Services furnished under this Agreement will ( a) be free of viruses, Trojan horses, trap doors, backdoors, Easter eggs, logic bombs, worms, time bombs, cancelbots, adware, malware, and/or other computer programming routines that may potentially damage, interfere with, intercept, disable, deactivate, or expropriate any Company Property, User’s Information System(s) or User’s Personal Information; ( b) not, of itself, infringe or misappropriate the Intellectual Property Rights of any third party; ( c) be free and clear of all liens, claims and encumbrances .
