FURNISHED SERVICES. The COUNTY agrees to: A. Guarantee access to and make provisions for the CONTRACTOR to enter upon public and private lands as required to perform their work. B. Ensure that all work sites it provides will be safe, secure, and incompliance with all applicable industry and OSHA standards. To the extent applicable and unless the Scope of Work states to the contrary, COUNTY will ensure that these work sites have adequate: physical space; air conditioning and other environmental conditions; adequate and appropriate electrical power, distribution equipment and connections; and adequate telephone or other communication lines (including modem access and adequate interfacing networking capabilities), all for the installation, use and maintenance of the System. Before installing the Equipment or Software at a work site, CONTRACTOR may inspect the work site and advise COUNTY of any apparent deficiencies or non-conformities with the requirements of this Section. CONTRACTOR recognizes that there will be limited physical space in the work sites during the transition period. If the COUNTY determines that the sites identified in the Scope of Work are no longer available or desired, or if subsurface, structural, adverse environmental or latent conditions at any site differ from those indicated in the Scope of Work, the Parties will promptly investigate the conditions and will select replacement sites or adjust the installation plans and specifications as necessary. If change in sites or adjustment to the installation plans and specifications causes a change in the cost or time to perform, the Parties will equitably amend the Contract Price, Performance Schedule, or both, by a change order. C. Make available all pertinent data and records for review. D. Provide general bid and CONTRACT forms and special provisions format when needed.

FURNISHED SERVICES. The County agrees to: A. Guarantee access to and make provisions for the Contractor to enter upon public and private lands as required to perform their work. B. County shall provide psychiatric mental health nurse practitioner (PMHNP) with suitable space to perform the Services as described in Exhibit A. UCSF PMHNP will perform the services for County solely at the location(s) as set forth in this Contract. County shall remain responsible for the overall operation of the unit and shall maintain such space and facilities in good and sanitary order, condition, and repair. E. County shall furnish all equipment, supplies and services necessary for PMHNP to perform the services under this Contract. F. County shall employ or otherwise retain all personnel necessary for the proper operation and conduct of the unit. County shall ensure that such personnel are appropriately trained and certified or licensed as necessary and are covered by County’s insurance or have obtained equivalent coverage. County shall be solely responsible for satisfying any and all obligations for any personnel it retains, employs or contracts with to assist it to perform this Contract. Such obligations shall include, but are not limited to, paying all federal and state withholding taxes applicable to employees, complying with federal and state wage-hour obligations (including overtime), workers compensation obligations, unemployment insurance obligations, and other applicable taxes and contributions to government mandated employment related insurance and similar programs.

Consistent with the budgetary limitations of County in the Coroner’s Department, County shall furnish, at no expense to Contractor, all equipment, facilities, supplies and personnel which the County and Contractor reasonably and mutually agree are needed for the performance of his duties and obligations hereunder. E. County shall provide a qualified medical secretary to do clerical work, an autopsy assistant to do preparatory work and assist Contractor in the work of performing autopsies, and a forensic toxicologist. Any medical secretary, autopsy assistant or forensic toxicologist provided by County shall not be deemed the employee or agent of Contractor. F. County will provide Contractor with facilities suitable for performing autopsies and shall provide all equipment and disposable or cleanable items necessary for Contractor to perform autopsy services, including, but not limited to, instruments, gloves, aprons, containers, and slides.
FURNISHED SERVICES. The County agrees to: A. Receive Marin County Tourism Business Improvement District assessment dollars from participating cities and from the lodging businesses within the unincorporated areas of County supervisorial districts 1, 2, 3, and 5 and maintain said accounts. Make quarterly payments to the Contractor beginning March, 2009. Payments shall be minus County administrative costs for collection, maintenance of accounts, and distribution of MCTBID funds to Contractor (Exhibit B). B. Credit interest from MCTBID funds to those same funds.
