Organization and Corporate Power and Authority. Seller is a limited liability company duly organized and validly existing under the Laws of the State of Delaware. Seller has the company power and authority to own its property and to carry on its businesses as now conducted and to execute and deliver this Agreement and each document, instrument or agreement contemplated hereby, and to perform its obligations hereunder and thereunder. 5.2

CORR has the corporate power and authority to own its property and to carry on its businesses as now conducted and to execute and deliver this Agreement and each document, instrument or agreement contemplated hereby to be executed and delivered by CORR, and to perform its obligations hereunder and thereunder. 6.2
Organization and Corporate Power and Authority. The Guarantor is a duly organized and validly existing corporation, in good standing under the laws of the jurisdiction of its formation and has the corporate power and authority to own its property and assets and to transact the business in which it is engaged and presently proposes to engage. The Guarantor has the corporate power and authority to execute, deliver and carry out the terms and provisions of the Credit Documents to which it is party and has taken all necessary corporate action to authorize the execution, delivery and performance of the Credit Documents to which it is party.
