ORGANIZATION AND GOOD STANDING OF PURCHASER AND WATERLINK. Each of Purchaser and Waterlink is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware. Each of Purchaser and Waterlink has full power and authority to carry on its business as and where now conducted and to own or lease and operate its properties at and where now owned or leased and operated by it, and is duly qualified to do business and is in good standing in every jurisdiction in which the property owned, leased or operated by it, or the nature of the business conducted by it, makes such qualification necessary, except where the failure to qualify would not have a material adverse effect on the business or financial condition of Purchaser or Waterlink, as the case may be. Other than actions taken in connection with its organization, Purchaser has conducted no business since its organization.
