ORGANIZATION AND OPERATION OF HYDROX. Hydrox is a Texas corporation, duly organized, validly existing and in good standing under the laws of the state of Texas, and has full power and authority (including all licenses, franchises, permits and other governmental authorizations which are legally required) to own its properties and to engage in the business and activities now conducted by it. Riverway Bank owns all of the issued and outstanding capital stock of Hydrox. True and complete copies of the Articles of Incorporation and Bylaws of Hydrox, as amended to date, have been delivered to Texas Regional. Hydrox does not currently conduct active business operations and has no assets (except cash in the amount of $1,000) and no liabilities.
