Organization and Operation of San Xxxx Bancshares. San Xxxx Bancshares is a Texas corporation, duly organized, validly existing and in good standing under the laws of the State of Texas, and has full power and authority (including all licenses, franchises, permits and other governmental authorizations which are legally required) to own its properties and to engage in the business and activities now conducted by it. San Xxxx Bancshares directly owns all of the issued and outstanding capital stock of San Xxxx Delaware and thereby indirectly owns all of the issued and outstanding capital stock of Texas Country Bank. San Xxxx Bancshares is duly registered as a bank holding company with the Federal Reserve Board and is operated in compliance with applicable Federal Reserve Board regulations in all material respects. True and complete copies of the Articles of Incorporation and Bylaws of San Xxxx Bancshares as amended to date, have been delivered to Texas Regional. San Xxxx Bancshares is not a reporting company under the Securities Exchange Act of 1934, as amended (the "1934 Act"). The only business of San Xxxx Bancshares is its ownership and operation of its subsidiary, San Xxxx Delaware, and ancillary activities directly related thereto. San Xxxx Bancshares has no assets other than its ownership of all of the capital stock of San Xxxx Delaware. San Xxxx Bancshares has no liabilities, liquidated or unliquidated, fixed or contingent, other than its obligations as described in Schedule 2.1. There is presently no default, and no event or circumstance which with the passage of time or the giving of notice could constitute a default, by San Xxxx Bancshares or any other person under the terms of any instrument describing or securing the obligations of San Xxxx Bancshares or its subsidiaries. All of the indebtedness and other obligations of San Xxxx Bancshares have been created and incurred (including any offering or sale of San Xxxx Bancshares obligations) in compliance with all applicable regulatory requirements in all material respects, including required approvals of the Federal Reserve Board, and all other requirements of law, including compliance with applicable securities laws and regulations in all material respects. San Xxxx Bancshares is not a member of any joint venture or partnership and San Xxxx Bancshares does not own the securities of any other entity other than as herein described.
