ORGANIZATION AND STANDING OF OWNER. Owner is a limited liability company duly organized, validly existing and in good standing under the laws of the State of North Carolina and is qualified to do business in each other jurisdiction where such qualification is necessary, or shall be qualified within thirty (30) days hereof. Copies of the Articles of Organization and Operating Agreement of Owner, and all amendments thereof to date, have been, if requested, delivered to Manager and are complete and correct. The Owner has the power and authority to own the property and assets now owned by it and to conduct the business currently being conducted by it.
