ORGANIZATION IN GOOD STANDING; LICENSES. Each Practice is a division of an Alabama business corporation, a medical corporation or a professional limited liability company, as the case may be, duly organized, validly existing and in good standing under the laws of its state of its formation. Each Practice is authorized to transact business in its state of formation. Additionally, the Virginia Division is duly qualified to transact business in Virginia. Each Practice has all necessary legal power to own all of its properties and assets and all material governmental licenses, authorizations, consents, and approvals to carry on its business as now conducted and as will be conducted (including, without limitation, accreditations and certifications as a provider of healthcare services eligible to receive payment and compensation and to participate under Medicare, Medicaid, CHAMPUS and CHAMPVA.

ORGANIZATION IN GOOD STANDING; LICENSES. The Service Provider is a Missouri corporation duly organized, validly existing and in good standing under the laws of the State of Missouri. The Service Provider has all necessary power to own all of its properties and assets and all material governmental licenses, authorizations, consents, and approvals to carry on its business as now conducted and as will be conducted (including, without limitation, accreditations and certifications as a provider of health care services eligible to receive payment and compensation and to participate under Medicare, Medicaid, CHAMPUS and CHAMPVA).
