Organization, Power and Standing of the Buyer. The Buyer is a corporation duly incorporated, validly existing and in good standing under the laws of the jurisdiction of its incorporation and has full power and authority, corporate and otherwise, to enter into this Agreement, to carry out and perform its obligations hereunder and to consummate the transactions contemplated hereby.

Organization, Power and Standing of the Buyer. The Buyer is a limited liability company validly existing and in good standing under the laws of the jurisdiction of its organization. The Buyer has full power, authority and capacity to enter into this Agreement and the other Transaction Documents to which the Buyer is a party, to perform its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby.
