Origin of the Products. 9.1 If the Products are ordered by the Purchaser for export, the Supplier will be obliged to provide the Purchaser, following his instructions and by the time of the first delivery, with a written declaration relative to the origin of the Products that could have value for the necessary customs controls. 9.2 The Supplier will be responsible and must indemnify the Purchaser for any damage, expense or prejudice that the Purchaser could suffer due to false or delayed declarations by the Supplier. The Supplier must, promptly and without any delay, inform the Purchaser of any difference that has arisen with respect to what had been communicated previously regarding the origin of the Products. Should it become necessary, the Supplier must prove his declarations by means of original documents from the Customs Authorities of the place where he has his headquarters.

Origin of the Products. If the Products are ordered by the Buyer for export, the Supplier shall provide to the Buyer and upon Xxxxx’s instructions a written declaration concerning the origin of the Products, their marking and certification, and any document that may be required for custom inspections relating to export, and the original of all documents shall be provided. The Supplier shall be responsible and will have to indemnify the Buyer for any damage, expense or prejudice that the Buyer may suffer due to false or delayed declarations. The Supplier shall promptly notify the Buyer of the existence of any discrepancies with respect to what was stated regarding the origin of the Products.

  • Products Products available under this Contract are limited to Software, including Software as a Service, products and related products as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their product offering; however, any changes must be within the scope of products awarded based on the posting described in Section 1.B above. Vendor may not add a manufacturer’s product line which was not included in the Vendor’s response to the solicitation described in Section 1.B above.

  • Manufacture of Products All Products marketed through Grantor's Web ------------------------- Site shall be manufactured, packaged, prepared, and shipped in accordance with the specifications and requirements described on Exhibit A hereto as it may be modified from time to time. Quality control standards relating to the Product's weight, color, consistency, micro-biological content, labeling and packaging are also set forth on Exhibit A. In the event that Exhibit A is incomplete, Products shall be manufactured and shipped in accordance with industry standards.

  • Packaging and Labeling Seller shall properly xxxx, xxxx, and ship Goods and provide Buyer with shipment documentation showing the Order number, Seller’s identification number for the subject Goods, the quantity of goods in shipment and the number of cartons or containers in the shipment.

  • Details of the Processing The subject-matter of Processing of Personal Data by Data Processor is the performance of the Services pursuant to the Agreement. The duration of the Processing, the nature and purpose of the Processing, as well as the types of Personal Data Processed and categories of Data Subjects under this DPA are further specified in Schedule 1 (Details of the Processing) to this DPA.

  • Duration of the Processing Personal Data will be Processed for the duration of the Agreement, subject to Section 4 of this DPA.

  • Product Labeling The labeling of all Licensed Products sold or offered for sale under this Agreement shall expressly state that the Licensed Product is manufactured under a license from the Medicines Patent Pool.

  • Manufacturing (a) The Supplier shall without limitation be responsible, at no additional cost to the Purchaser, for: sourcing and procuring all raw materials for the Products; obtaining all necessary approvals, permits and licenses for the manufacturing of the Products; providing sufficient qualified staff and workers to perform the obligations under this Purchase Agreement; implementing and maintaining effective inventory and production control procedures with respect to the Products; and handling other matters as reasonably requested by the Purchaser from time to time. (b) The Supplier shall not change any process, material, component, packaging or manufacturing location without the Purchaser’s express prior written approval.

  • Manufacture 2.1. The LED(s) on the LED module shall be equipped with suitable fixation elements. 2.2. The fixation elements shall be strong and firmly secured to the LED(s) and the LED module.

  • Packaging and Shipping All shipping containers shall be packed and packaged to: (i) ensure safe arrival to final destination; (ii) secure the lowest transportation costs;(iii) comply with requirements of common carriers; (iv) meet Buyer's written instructions; and (v) meet the requirements of all applicable laws, ordinances, rules and regulations.
