Other Authorizations and Consents. (i) As promptly as practicable after the date hereof, Buyer and Seller shall make all other filings with Governmental Entities, and use commercially reasonable efforts to obtain all permits, approvals, authorizations and consents of all third-parties, required to consummate the Transactions. Buyer and Seller shall furnish promptly to each other all information that is not otherwise available to the other party and that such party may reasonably request in connection with any such filing, permit, approval, authorization or consent.

Other Authorizations and Consents. As promptly as practicable after the date hereof, the Company and the Purchaser shall make all other filings with Government Entities and use commercially reasonable efforts to obtain all Permits required to consummate the Transaction, the consents of third Persons listed on Schedule 5.7(b) and the Specified Purchaser Consents. Notwithstanding the foregoing, none of the Company or the Sellers shall have any obligation to pay any fee to any third Person for the purpose of obtaining such consent or any costs and expenses of any third Person resulting from the process of obtaining any such consent. The Company and the Purchaser shall furnish promptly to each other all information that is not otherwise available to the other Party and that such Party may reasonably request in connection with such authorizations and consents.

  • Authorizations and Consents No authorization, consent, approval, exemption, franchise, permit or license of, or filing with, any governmental or public authority or any third party is required to authorize, or is otherwise required in connection with the valid execution and delivery by the Borrower of this Agreement, the Notes, and the Security Instruments, or any other instrument contemplated hereby, the repayment by the Borrower of advances against the Notes and interest and fees provided in the Notes and this Agreement, or the performance by the Borrower of its obligations under any of the foregoing.

  • Governmental Authorizations and Consents Each Credit Party shall have obtained all Governmental Authorizations and all consents of other Persons, in each case that are necessary or advisable in connection with the transactions contemplated by the Credit Documents and each of the foregoing shall be in full force and effect and in form and substance reasonably satisfactory to Administrative Agent.
