Other Liens or Interest. Except for the transfers hereunder, the Depositor will not sell, pledge, assign or transfer to any other person, or grant, create, incur, assume or suffer to exist any Lien on, any interest, and the Depositor shall defend the right, title, and interest of the Issuer in, to and under the Initial Receivables and Subsequent Receivables and other Deposited Assets against all claims of third parties claiming through or under the Depositor; provided, however, that the Depositor's obligations under this Section 5.02 shall terminate upon the termination of the Indenture in accordance with its terms.
