Other Live Stage. At the Closing, ▇▇▇▇▇▇▇ Co. shall identify up to four (4) projects (in addition to Never Gonna Dance), and within three (3) months after Closing, ▇▇▇▇▇▇▇ Co. shall have reduced such list to two of those projects, and within six (6) months after Closing, ▇▇▇▇▇▇▇ Co. shall identify the one project that ▇▇▇▇▇▇▇ Co. will proceed to develop. As to such project, ▇▇▇▇▇▇▇ Co. shall have the right, for a period of three (3) years from the Closing, to option from AC the right to produce such project under the same terms as agreed to with respect to Never Gonna Dance. Notwithstanding the foregoing, the royalty payable to AC shall be no less favorable to AC than the royalty accepted by ▇▇▇▇▇▇ Entertainment Co. ("▇▇▇▇▇▇") in connection therewith (it being understood that ▇▇▇▇▇▇ has blocking rights on each such project), except that in any event, the sharing of rights fees and royalties as between ▇▇▇▇▇▇▇ Co. and AC shall be on the basis as set forth in sub-paragraph C above.

  • Community Based Adult Intensive Service (AIS) and Child and Family Intensive Treatment (CFIT) – AIS/CFIT programs offer services primarily based in the home and community for qualifying adults and children with moderate- to-severe mental health conditions. These programs consist at a minimum of ongoing emergency/crisis evaluations, psychiatric assessment, medication evaluation and management, case management, psychiatric nursing services, and individual, group, and family therapy. This plan covers individual psychotherapy, group psychotherapy, and family therapy when rendered by: • Psychiatrists; • Licensed Clinical Psychologists; • Licensed Independent Clinical Social Workers; • Advance Practice Registered Nurses (Clinical Nurse Specialists/Nurse Practitioners- Behavioral Health); • Licensed Mental Health Counselors; and • Licensed Marriage and Family Therapists. This plan covers psychological testing as a behavioral health benefit when rendered by: • neuropsychologists; • psychologists; or • pediatric neurodevelopmental specialists. This plan covers neuropsychological testing as described in the Tests, Labs and Imaging section.

  • Roadside Assistance If you purchase the optional Roadside Assistance, we will provide you with 24/7 breakdown assistance (where available) without additional charge. Roadside Assistance includes replacement of lost keys or key fobs, flat tire service, jumpstart, and key lockout services. When deciding whether to purchase Roadside Assistance, you may wish to check whether you have you have other coverage for the services. Roadside Assistance is not insurance. Roadside Assistance is void if you are in breach of this Agreement, including the prohibited uses in paragraph 5.

  • Dependent Care Assistance Program The County offers the option of enrolling in a Dependent Care Assistance Program (DCAP) designed to qualify for tax savings under Section 129 of the Internal Revenue Code, but such savings are not guaranteed. The program allows employees to set aside up to five thousand dollars ($5,000) of annual salary (before taxes) per calendar year to pay for eligible dependent care (child and elder care) expenses. Any unused balance is forfeited and cannot be recovered by the employee.

  • Other Assistance Assist SBEs in their efforts to obtain bonds, lines of credit and insurance. (Note that the Agency has a Surety Bond Program that may assist SBEs in obtaining necessary bonding.) The Agency-Assisted Contractor or Contractor(s) shall require no more stringent bond or insurance standards of SBEs than required of other business enterprises.

  • Emergency Assistance Both Parties shall exercise due diligence to avoid or mitigate an Emergency to the extent practical in accordance with applicable requirements imposed by the Standards Authority or contained in the PJM Tariffs and NYISO Tariffs. In avoiding or mitigating an Emergency, both Parties shall strive to allow for commercial remedies, but if commercial remedies are not successful or practical, the Parties agree to be the suppliers of last resort to maintain reliability on the system. For each hour during which Emergency conditions exist in a Party’s Balancing Authority Area, that Party (while still ensuring operations within applicable Reliability Standards) shall determine what commercial remedies are available and make use of those that are practical and needed to avoid or mitigate the Emergency before any Emergency Energy is scheduled in that hour.
