Other Microsoft Internet Technologies. EI agrees it shall implement Microsoft Passport wallet technology and Microsoft Passport authentication technology on Xxxxxxx.xxx/XXX and Xxxxxxx.xxx as soon as commercially available and technically viable (timing to be discussed by the parties) so that existing registered Passport users may use the services available on Xxxxxxx.xxx/XXX without having to reenter their username and password or other relevant personal information; the usage terms and conditions shall be agreed upon by the parties, provided however, that EI shall be entitled to "most-favored nations" pricing on the licensing of such Passport technologies. Upon notice from Microsoft that other technologies are available for distribution, EI agrees, as soon as commercially available and technically viable, to make best efforts (when technology is applicable) to include or implement or adopt on Xxxxxxx.xxx/XXX and/or Xxxxxxx.xxx other Microsoft Internet services (e.g., ad profiling) or platform (e.g., MSN Mobile) pursuant to such usage terms and conditions as the parties may agree, provided however, that EI shall be entitled to "most-favored nations" pricing on the licensing of such technologies.

Other Microsoft Internet Technologies. EI shall implement Microsoft Passport authentication technology on the Co-Branded Site and Expedia (as soon as commercially available and technically viable, with the timing to be discussed by the parties) so that existing registered Passport users may use the services available on the Co-Branded Site without having to reenter their username and password or other relevant personal information; the usage terms, pricing and conditions shall be agreed upon by the parties. Upon notice from Microsoft that other technologies are available for distribution, EI agrees, as soon as commercially available and technically viable, to use commercially reasonable efforts (when technology is applicable) to include or implement or adopt on the Co-Branded Site and/or Expedia other Microsoft Internet technologies (e.g. .NET Notification) under such usage terms, pricing and conditions as the parties may mutually agree. Notwithstanding the foregoing, however, in no event shall EI implement or adopt on the Co-Branded Site and/or Expedia any Microsoft technology, Internet services, or platform that conflicts with any of the terms and conditions of Expedia's Privacy Policy Statement.

  • Technology For purposes of this Agreement, “Technology” means all Software, information, designs, formulae, algorithms, procedures, methods, techniques, ideas, know-how, research and development, technical data, programs, subroutines, tools, materials, specifications, processes, inventions (whether or not patentable and whether or not reduced to practice), apparatus, creations, improvements and other similar materials, and all recordings, graphs, drawings, reports, analyses, and other writings, and other embodiments of any of the foregoing, in any form or media whether or not specifically listed herein. Further, for purposes of this Agreement, “Software” means any and all computer programs, whether in source code or object code; databases and compilations, whether machine readable or otherwise; descriptions, flow-charts and other work product used to design, plan, organize and develop any of the foregoing; and all documentation, including user manuals and other training documentation, related to any of the foregoing.

  • Computer Software All computer applications software, owned or licensed, whether for general business usage (e.g., accounting, word processing, graphics, spreadsheet analysis, etc.), or specific, unique-to-the-business usage, and all computer operating, security or programming software, owned or licensed by Seller and used in the operation of the Business; and

Transfer Agent provides Internet Services “as is,” on an “as available” basis, and hereby specifically disclaims any and all representations or warranties, express or implied, regarding such Internet Services, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance.   • New Technology If New Technology becomes available from any source, including Supplier, then KP may evaluate and contract with any supplier so that KP will have access to New Technology at all times. If Supplier cannot offer New Technology at comparable or lower prices, KP may either (a) amend contract pricelist to add Supplier's New Technology at a mutually agreed-upon price; or (b) contract with other suppliers for New Technology. Regardless of whether New Technology is added to this Agreement, Supplier and KP will negotiate in good faith to equitably adjust the pricing for any current Product under this Agreement affected by the New Technology.

  • Internet Access Data and information may be made electronically accessible to the Company through Internet access to one or more links provided by the Administrator or a sub-administrator (“Web Link”). All rights in Web Link (including text and “look and feel” attributes) are owned by the sub-administrator.
