Other Opinions. Such other opinions as any lender to Buyer may -------------- reasonably request. In rendering such opinions, such counsel may rely as to factual matters upon certificates and assurances of public officials, Sellers, and officers of the Company. In addition, such opinions may be subject to such additional qualifications and exceptions as are reasonably acceptable to counsel to Buyer.
Other Opinions. The Company shall have received from the General Counsel of Parent, and from Xxxxxxxx, Xxxxxx & Finger, special Delaware counsel to Parent, legal opinions, dated as of the Closing Date, in substantially the forms of Exhibits G and H.
Other Opinions. The Manager may require a favorable opinion of the Company's legal counsel to the effect that the Disposition would (1) not result in the Company's being (i) taxed as a corporation by virtue of the application of Code Section 7704 (or any successor provision), (2) be considered to have been terminated within the meaning of Code Section 708 if the effect of a termination would be disadvantageous tomaterial adverse tax consequences on any of the remaining Members, or (3) considered to hold “plan assets” for purposes of Subtitle A and Parts 1 and 4 of Subtitle B of Title I of ERISA and §4975 of the Code (or any successor provisions).
Other Opinions. There shall have been delivered to Agent (with sufficient copies for distribution to all Lenders), in form and substance satisfactory to Agent and its counsel, an opinion, dated the Closing Date, of Xxxx Gaan, Esq., or other acceptable in-house counsel, substantially in the form of Exhibit K hereto; 48
Other Opinions. Opinions of Xxxxxx Xxxxxxxx LLP, bond counsel, and of the Office of Chief Counsel of the Pennsylvania Department of Commerce, each addressed to the Bank, covering such matters as to the Issuer and the Bond Documents as the Bank may reasonably request;

If any mortgage or similar instrument is being executed and delivered as of the Closing Date, an opinion of counsel to the Company or the relevant Subsidiary of the Company in the jurisdiction where the property subject thereto is located in form and substance reasonably satisfactory to the Administrative Agent.
Other Opinions. Such other opinions as any financing source to Buyer may reasonably request and as are customarily provided in transactions of this nature, and such persons shall be entitled to rely upon the opinions of Sellers' counsel hereunder.

(a) The Company shall have received an opinion of its financial advisors as to the fairness from a financial point of view to the policyholders of the Company who are Eligible Policyholders, taken as a group, of the exchange of the aggregate Policyholders' Membership Interests for shares of Common Stock, cash or Policy Credits in accordance with this Plan, which shall be confirmed as of the Plan Effective Date.
