Common use of Other Permitted Activities Clause in Contracts

Other Permitted Activities. The foregoing will not preclude the Executive from (i) engaging in civic, charitable or community activities, (ii) participation in trade or professional organizations, or (iii) serving on the boards of directors of the companies upon which he already serves on the Effective Date, if any (listed on Exhibit A) or, subject to the Board’s prior written consent, joining the boards of directors and/or advisors of other companies or organizations, so long as such activities do not violate Section 8(a) and do not (A) present any direct or indirect conflict of interest with the Company, or (B) materially and adversely affect the performance of the Executive’s duties hereunder.
