Common use of Outages and Overhauls Clause in Contracts

Outages and Overhauls. (a) Owner shall be entitled to take a Unit out of operation or reduce the Availability of the Unit to repair and maintain the Unit in accordance with Good Industry Practice and the requirements of the CAISO Tariff Section 9 of the CAISO Tariff. RMR Unit is subject to all outage terms and conditions relating to outages set forth in Section 9 of the CAISO Tariff. The dates and times of the outages and any changes to those dates and times shall be determined in accordance with the CAISO Tariff. For purposes of complying with the requirements of the CAISO Tariff, Other Outage shall be separated between “maintenance outage” and “forced outage,” as defined in the CAISO Tariff. (b) Owner shall have the right to curtail or discontinue, in whole or in part, Deliveries of Energy or Ancillary Services from a Unit for so long as, and to the extent that, a Forced Outage affecting the Unit continues or when, in Owner’s judgment in accordance with Good Industry Practice, operating conditions at the Unit so require. Curtailment or discontinuance under this Section shall give rise to applicable remedies under Article 8.
