Common use of OWNERSHIP AND IDENTIFICATION Clause in Contracts

OWNERSHIP AND IDENTIFICATION. All Securities held directly or indirectly in the Securities Accounts shall be held by Custodian for the exclusive account and benefit of Client, and beneficial ownership of the Securities shall at all times remain vested in Client. The books and records of Custodian shall so identify the Securities and the Securities Accounts. Custodian shall cause Client's interest in the Securities to be evidenced by a credit to the Securities Accounts on the books of Custodian. Custodian shall segregate on its books and records any securities which are held by it for Custodian's own account from those securities (including the Securities) held by it for the account of others. Notwithstanding anything stated in Section 8 of this Agreement to the contrary, Custodian shall not be responsible for the title, validity or genuineness of any Securities or evidence of the title receive by it.
