OWNERSHIP AND INTELLECTUAL property rights 4.1. With the exception of CC Containers under a Pool Participation Agreement, all CC Containers belong to CC and shall remain the property of CC. All IPR regarding the CC Containers, Identification Marks always belong to CC and shall remain the property of CC. 4.2. The CC Containers shall not be painted or in any other manner be provided with identifying marks, symbols or lettering other than the labelling applied by CC. Except in case of a relabelling campaign, labelling or marking of the CC Containers provided by CC may not be changed or removed. 4.3. If a third party infringes IPR of CC, the Customer will immediately notify CC of this in writing. The Customer will assist CC in protecting its IPR and provide the required information and render assistance for that purpose.

OWNERSHIP AND INTELLECTUAL property rights 4.1. Customer does not gain any ownership rights in the Software (or any intellectual property rights contained therein), but only the limited subscription license rights according to the License as set out in this XXXX. Ubimax Group will retain ownership and exclusive usage rights to Software. Customer will only be permitted to apply the Soft- xxxx to the extent Customer is explicitly contractually authorized to do or overriding statutory provisions permit such usage. 4.2. The Software, documentation and all and any intellectual property rights associated therewith and in relation thereto, including but not limited to source code, patents, design rights, copyrights, trade- marks, trade-secrets and proprietary know-how, are and will remain at all times the sole and exclusive property of Ubimax Group. The Customer has no right, title or interest in or to the Software, docu- mentation or the intellectual property rights associated therewith, ex- cept as expressly granted in this XXXX. 4.3. This XXXX does not grant the Customer any rights in the trademarks or service marks of Ubimax Group, all of which remain the exclusive property of Ubimax Group. Any proprietary right notices on the Soft- xxxx, documentation or their associated packaging, regarding pa- tents, copyright, trademarks or other intellectual property rights may not be altered or removed by the Customer.

  • Ownership and License 5.1 Unless otherwise specified in a SOW and except as provided in Section 5.2, Cisco is the sole and exclusive owner of all Deliverables and Supplier hereby irrevocably assigns and transfers to Cisco all of its worldwide right and title to, and interest in, the Deliverables, including all associated Intellectual Property Rights. 5.2 Unless otherwise specified in a SOW, each party owns all right, title, and interest in and to any of its Preexisting Materials. Supplier hereby grants Cisco a perpetual, irrevocable, worldwide, transferable, royalty-free, nonexclusive license, with the right to sublicense and authorize the granting of sublicenses, to use and reproduce Supplier's Preexisting Materials in the Deliverables to the extent necessary for Cisco’s exercise and exploitation of its rights in the Deliverables. 5.3 Unless otherwise specified in an SOW, Supplier will obtain and assign to Cisco a non- exclusive, royalty-free, worldwide, perpetual, irrevocable, transferable, sub-licensable license to use all Third Party Intellectual Property Rights incorporated into, required to use, or delivered with the Work. Supplier will deliver copies of the above releases and licenses to Cisco upon Xxxxx’s request.

  • Ownership and Reuse of Documents All documents, data, reports, research, graphic presentation materials, etc., developed by Contractor as a part of its work under this Agreement, shall become the property of County upon completion of this Agreement, or in the event of termination or cancellation thereof, at the time of payment under Section 3 for work performed. Contractor shall promptly furnish all such data and material to County on request.
