Ownership of Deposit. Subject to the provisions (including Subsection 6.5) of the Registry Agreement, the parties recognize and acknowledge that ownership of the Deposit during the effective term of this Agreement shall remain with the Registry Operator at all times.

Ownership of Deposit. The Company represents on and as at the date of this Agreement that: (i) it is the sole legal and beneficial owner of each Deposit, free and clear of all Liens, subject to any Liens permitted pursuant to Section 6.02(u) (Liens) of the Credit Agreement or any similar Liens or any Lien created by this Agreement; and (ii) it has not sold or disposed of or granted any Lien over any of its right, title and interest in any Deposit, in each case other than as permitted by the Loan Documents and other than pursuant to this Agreement.
