  • Replacement Parts Replacement parts for goods purchased by Buyer are for the purpose of this Section defined as โ€œPartsโ€ (and are also considered โ€œgoodsโ€ under this Order). Unless specified otherwise by Buyer in writing, Supplier shall provide Parts (or upon Buyerโ€™s written consent, an alternative replacement part that provides the same form, fit and function as the Part(s)) for a period of twenty (20) years after production of the goods (into which the applicable Parts are incorporated) ceases. Supplier shall continue to supply such Parts past the twenty (20) year period if Buyer orders at least twenty (20) Parts per year during such twenty-year period. The prices for any Parts purchased in the first two (2) years of the twenty-year period shall not exceed those prices in effect at the time production of the goods ceases, and no set up charges shall be permitted by Supplier or paid by Xxxxx during this two-year period. Thereafter, the prices for Parts shall be negotiated based on Supplierโ€™s actual cost of production of such Parts plus any special packaging costs. No minimum order requirements shall apply unless the parties mutually agree in advance. After the end of the twenty-year period, Supplier shall continue to maintain in good working condition all Supplier-owned tooling required to produce the Parts and shall not dispose of such tooling without offering Buyer the right of first refusal to purchase such tooling.

  • Replacement Parts Warranty If during the regular or extended warranty periodโ€™s faults develop, the Contractor shall promptly repair or, upon demand, replace the defective unit or component part affected. All costs for labor and material and transportation incurred to repair or replace defective Product during the warranty period shall be borne solely by the Contractor, and the State or Authorized User shall in no event be liable or responsible therefor. Any part of component replaced by the Contractor under the Contract warranty shall be replaced at no cost to the Authorized User and guaranteed for the greater of: a) the warranty period under paragraph (d) above; or b) if a separate warranty for that part or component is generally offered by the manufacturer, the standard commercial warranty period offered by the manufacturer for the individual part or component.

  • Reporting of Metered Data and Parameters 7.2.1 The grid connected Solar PV power plants will install necessary equipment for regular monitoring of solar irradiance (including GHI, DHI and solar radiation in the module plane), ambient air temperature, wind speed and other weather parameters and simultaneously for monitoring of the electric power (both DC and AC) generated from the Project.

  • Equipment and Vehicle Parking Company will ensure that all equipment, including but not limited to, vehicles owned or operated by Company, its vendors and/or contractors, will not be parked in a manner that interferes in any way with any operations at the Airport. Companyโ€™s equipment and vehicles and those of its vendors and/or contractors will be parked in designated parking areas as provided by Authority. No vehicle shall access the AOA unless directly related to Companyโ€™s business operations. All vehicles driven, escorted, or parked on the AOA must meet Authorityโ€™s insurance requirements and any other applicable Authority Rules and Regulations and security requirements. All vehicles, including those of Companyโ€™s Parties, excluding escorted vehicles, accessing the AOA must bear Companyโ€™s identification on both sides of the vehicle which should be identifiable from a distance of fifty (50) feet. Company must also display Authorityโ€™s logo decal. Information regarding vehicle access to the AOA is available from Authorityโ€™s Badging Office. All persons accessing the AOA must adhere to Authorityโ€™s SIDA training, Airport Security Program, and TSA regulations. Company will verify that its Company Parties who operate motorized vehicles on Airport property have a valid driverโ€™s license. Company will provide evidence in writing of such verification within fifteen (15) daysโ€™ of written request by Authority. If Company fails to provide verification or if Companyโ€™s Party is found to be driving on Airport property without a valid driverโ€™s license, Authority will revoke the offending driverโ€™s ID Media and may assess liquidated damages against Company of up to $1,000 per occurrence. Said liquidated damages will be due and payable within fifteen (15) daysโ€™ notice of invoice for the same. On a quarterly basis, Company will conduct and maintain periodic audits of the status of the driverโ€™s licenses of Company Parties to ensure that they possess and maintain a valid driverโ€™s license. Such audits shall be provided to Authority upon fifteen (15) daysโ€™ written request by Authority.

  • Substance Abuse Program The SFMTA General Manager or designee will manage all aspects of the FTA-mandated Substance Abuse Program. He/she shall have appointing and removal authority over all personnel working for the Substance Abuse Program personnel, and shall be responsible for the supervision of the SAP.

  • Data Universal Number System (DUNS) number Requirement Grantee will provide their valid DUNS number contemporaneous with execution of this Agreement.
