SERVICE AND REPLACEMENT PARTS. 23.1 During the term of this Contract, Seller will fulfill Buyer's and Customer’s service and replacement parts requirements at the then current production price(s) under this Contract. If the Products are systems or modules, Seller will sell the components or parts that comprise the system or module at price(s) that will not, in the aggregate, exceed the price of the system or module less assembly costs. 23.2 Seller will also fulfill Buyer's and its customers' service and replacement parts requirements during the fifteen (15) year period following the end of the production program for the vehicle into which the Products are incorporated (the "Post-Production Period") unless this Contract expires or is terminated by Buyer, for reasons other than Seller’s breach, prior to the commencement of the Post-Production Period. 23.3 During the initial five (5) years of the Post-Production Period, the price(s) for such Products will be the production price(s) that were in effect at the commencement of the Post- Production Period. For the remainder of the Post-Production Period, the price(s) for such service Products will be as reasonably agreed to by the Parties. 23.4 In the event of any disagreement regarding pricing during the remainder of the Post-Production Period, Buyer and Seller will resolve the disagreement in good faith. Seller will continue to fulfill Buyer’s and Customer’s service and replacement parts requirements at the price in effect at the expiration of the most recent Buyer purchase order for the Products while Buyer and Seller resolve any disagreement regarding future pricing. 23.5 At Buyer’s request, Seller will also make service literature and other materials available at no additional charge to support Buyer's service activities.

SERVICE AND REPLACEMENT PARTS. (a) Except as otherwise expressly agreed in writing, for fifteen (15) years after a vehicle design or specific part concludes production, Seller shall supply Buyer’s written “service parts” orders for the same Goods, component parts and materials, at the prices set forth in this Order plus any actual cost differential for special packaging. If the Goods are systems or modules, Seller shall sell each component or part at a price that does not, in the aggregate, exceed the system or module price specified in this Order, less assembly costs, plus any actual cost differential for packaging. Seller’s obligation with respect to service or replacement parts shall survive the termination or expiration of this Order. (b) At Buyer’s request, Seller shall make service literature and other materials available at no additional charge to support Buyer’s service part sales activities.

If the goods are systems or modules, Seller will sell the components or parts that comprise the system or module at price(s) that shall not, in the aggregate, exceed the price of the system or module less assembly costs. During the ten (10) year period after Buyer completes current model purchases, Seller will sell goods to Buyer to fulfill Buyer's past model service and replacement parts requirements. Unless otherwise agreed to by Xxxxx, the price(s) during the first two (2) years of this period shall be those in effect at the conclusion of current model purchases. For the remainder of this period, the price(s) for goods shall be as agreed to by the parties. When requested by Xxxxx, Seller shall make service literature and other materials available at no additional charge to support Buyer's service part sales activities.
SERVICE AND REPLACEMENT PARTS. If this contract is for the sale of direct material or components for Buyer’s finished product, then the following section shall apply. During the term of this agreement, Seller will sell to Buyer Products necessary to fulfill Buyer’s service and replacement parts requirements to Buyer’s customers at the then current production price(s) under this Contract. If the Products are systems or modules, Seller will sell the components or parts that comprise the system or module at price(s) that will not, in the aggregate, exceed the price of the system or module less assembly costs. If this agreement is in effect at the end of the vehicle production program into which the Products covered by the Purchase Order are incorporated, Seller will also sell Products to Buyer to fulfill Buyer’s and its customers’ service and replacement parts requirements during the longer of (i) the period required by Buyer’s customer or (ii) a fifteen (15) year period following the end of such vehicle production program (the longer of (i) or (ii) shall be deemed the “Post Production Period”), and this Contract will automatically remain in effect during the entire Post Production Period. During the initial three (3) years of the Post Production Period, the price(s) for such Products will be the production price(s) that were in effect at the commencement of the Post Production Period. For the remainder of the Post Production Period, the price(s) for such service Products will be as reasonably agreed to by the parties. If requested by Xxxxx, Seller will also make service literature and other materials available at no additional charge to support Buyer’s service activities.
SERVICE AND REPLACEMENT PARTS. A. Upon receipt of a Release, Seller shall sell to Purchaser all Goods necessary for Purchaser to fulfill Purchaser's and its Customer’s service and replacement parts requirements for its current model year at the then current production prices plus any actual net cost differential for required unique packaging. If the Goods are systems, modules or assemblies, Seller shall sell the components or parts of such systems, modules or assemblies at prices that will not in the aggregate exceed the then current production price of the system, module or assembly less the costs of labor involved in connection with the system, module or assembly plus any actual net cost differential for required unique packaging. B. After termination of the current model production of the vehicle involved, Seller shall sell to Purchaser Goods necessary for Purchaser to fulfill Purchaser's and its Customers’ service and replacement parts requirements for past model years at the prices then specified in the last Order for current model production plus any actual net cost differential for required unique packaging for the first five (5) years of past model service. For the following ten (10) years of past model service or such longer period as Purchaser’s Customer requires service parts, the prices shall be as specified in the last Order for current model production plus any actual net cost differential for required unique packaging, plus any actual net cost differential for manufacturing costs as mutually agreed between Purchaser and Seller.
SERVICE AND REPLACEMENT PARTS. (a) Seller acknowledges that the Buyer is obligated to provide the material and work covered by this order to its products for the expected life of those products. Seller agrees that in the event this order is cancelled pursuant to the provisions of the Terms and Conditions of this Purchase Order or in the event that Seller fails or is unable to provide the above support, Seller shall immediately provide Buyer with all drawings, data and technical information necessary for the manufacture of the material and work covered by this order and Buyer shall have the right to manufacture or have manufactured for it the material and work covered by this order. (b) Seller shall: i. maintain in inventory an adequate quantity of Goods as necessary to fulfill all of Buyer’s Requirements (as defined herein) for a minimum period of three (3) years following Contract initiation; ii. supply to Buyer all of Buyer’s Requirements for a minimum period of thirty (30) years following Contract initiation (“Required Inventory Term”); and iii. maintain all supplies and items (including drawings, specifications, tooling, fixtures, gauges) necessary for Buyer’s Requirements for the Required Inventory Term (“Required Supplies”). (c) In the event Seller determines that it is unable to comply with (a) above, Seller shall: i. provide Buyer with a minimum of twelve (12) months prior written notice before Seller takes any action to discontinue its supply of Buyer’s Requirements, and ii. make available to Buyer, without restriction, all Required Supplies as Buyer may deem necessary to facilitate Buyers ongoing supply of Goods. (d) Unless otherwise agreed to by Xxxxx, the price(s) for the Goods during the first three (3) years following Contract initiation shall be fixed. For the remainder of the Required Inventory Term, the price(s) for the Goods shall be as agreed to by Xxxxx and Seller. Upon Buyer’s request, Seller shall make service literature, technical support documentation, and other similar materials available to Buyer, at no additional charge, to support Buyer’s service parts activities. (e) For the purposes of this Article, “Buyer’s Requirements” shall mean all Goods required for use in Buyer’s manufacturing and service parts operations, and Buyer’s rebuild, power, marine and industrial businesses.
SERVICE AND REPLACEMENT PARTS. (a) At Buyer’s request, Seller will sell to Buyer the Products of this Purchase Order for production parts or components necessary to fulfill Buyer’s service parts requirements to its customer for such Products at the prices specified in the Purchase Order plus any actual cost differential for packaging. (b) At Buyer’s request during the ten-year period after Buyer completes current model purchases for its customer, Seller will sell to Buyer Products to fulfill Buyer’s customer’s past model service and replacement requirements at the prices specified in this Purchase Order plus actual cost differentials for packaging and manufacturing. During the tenth year of such period, Buyer and Seller will negotiate in good faith with regard to Seller’s continued manufacture of service and replacement Products.

For the following seven (7) year period, Seller will continue to sell goods (or subcomponents thereof) to Buyer to fulfill Buyer’s service and replacement requirements at price(s) that are reasonably agreed to by the parties but, in no event, higher than the price offered by Seller to third parties for similar goods (or subcomponents thereof). If requested by Xxxxx, Seller will also make service literature and other materials available at no additional charge to support Buyer’s service activities.
