Common use of Paid-Up License Clause in Contracts

Paid-Up License. Upon expiration of Amgen's obligation hereunder to pay a Royalty on Net Sales of a Compound in a country, Amgen shall have a fully paid unrestricted license to make, use and sell such Compound in the Field of Use in that country.

Paid-Up License. Upon the expiration of Amgen's obligation hereunder under this Article 8 to pay a Royalty royalties on Net Sales of a Compound Product in a country, Amgen shall have a fully paid unrestricted license paid-up, non-exclusive license, with the right to sublicense, to make, use and have made, use, sell, lease, offer to sell or lease, import, export or otherwise exploit, transfer physical possession of or otherwise transfer title in such Compound Product in the Field of Use in that country.

Upon the expiration of Amgen's obligation hereunder --------------- pursuant to Section 5.6.1 to pay a Royalty Royalties on Net Sales of a Compound Product in a country, Amgen shall have a fully paid unrestricted paid-up, unrestricted, non-exclusive license under Licensed Technology to make, use have made, use, sell, offer to sell and sell such Compound import said Product in the Field of Use in that country.
