Promptly following the Effective Time, Parent shall take all required legal actions to (a) change its corporate name to DOBI Medical International, Inc. by means of a reincorporation in the State of Delaware and (b) upon satisfaction of the original listing requirements, list the Parent Stock for trading on the American Stock Exchange.
