Common use of Parties’ Review Clause in Contracts

Parties’ Review. Any Knowledge acquired by a Party (or that should have been or could have been acquired) as a result of any due diligence or other review or investigation in connection with the negotiation and execution of this Agreement and the closing of the Transaction shall not limit that Party’s right to rely on the other Party’s representations and warranties in this Agreement or circumscribe that Party’s entitlement to indemnification under this Agreement. A Party acquiring Knowledge prior to Closing that one or more of the other Party’s representations and warranties is inaccurate in any material respect shall promptly give Notice to the other Party of the relevant facts.
