Common use of Partner Override Clause in Contracts

Partner Override. The Partners holding a Supermajority, excluding Stock Ownership Interests which are held by the Managing Partner, may, at any time within thirty (30) days after a determination by the Managing Partner, override by Resolution such Managing Partner’s determination under this Article V (p.73) the amount of Available Cash available for, and the manner of, distribution, and the amount of Reasonable Reserves.
