Common use of Partner’s Responsibilities Clause in Contracts

Partner’s Responsibilities. 5.1 Partner will: a. make available and maintain the Partner Platform, including keeping the Partner Platform up-to-date and accurate and in accordance with the Integration & Service Information in all material respects; b. ensure the Xxxxxxx.xxx Platform and any Integration & Service Selections are “always on” on the Partner Platform and presented in such a way as to drive traffic to the Xxxxxxx.xxx Platform; c. provide prompt and reasonable cooperation, assistance and support to Xxxxxxx.xxx in respect of Xxxxxxx.xxx’s operation and management of the Xxxxxxx.xxx Platform and the Xxxxxxx.xxx Service as they relate to the integration between Xxxxxxx.xxx and Partner; and d. safeguard and keep the Partner Centre link and user ID confidential and safely stored and not disclose them to any person other than those who need to have access to the Partner Centre. Partner will immediately notify Xxxxxxx.xxx when it becomes aware of any suspected, threatened or actual security breach or improper use of the Partner Centre.
