Common use of Patent Term Restoration Clause in Contracts

Patent Term Restoration. The Parties hereto shall cooperate with each other in obtaining patent term restoration or supplemental protection certificates or their equivalents in any country in the Territory where applicable to Patent Rights. In the event that elections with respect to obtaining such patent term restoration are to be made, Merck shall have the right to make the election and Vertex agrees to abide by such election.

In the event that If elections with respect to obtaining such patent term restoration are to be made, Merck shall have the right to make the election election, subject to good faith consultation with FHT, and Vertex FHT agrees to abide by such election.

The Parties hereto shall cooperate with each other, including without limitation to provide necessary information and assistance as the other Party may reasonably request, in obtaining patent term extension, restoration or and supplemental protection certificates or and their equivalents in any country in the Territory where applicable to Patent RightsLicensed Patents. In the event that elections with respect to obtaining such patent term extension, restoration or supplemental protection certificates or their equivalents are to be made, Merck shall have the right to make the such election and Vertex agrees Licensors agree to abide by such election.

The Parties hereto shall cooperate with each other, including without limitation to provide necessary information and assistance as the other Party may reasonably request, in obtaining patent term restoration or supplemental protection certificates or their equivalents in any country in the Territory where applicable to Avalon Patent RightsRights exclusively licensed to Merck with respect to Licensed Compound or Product under this Agreement. In the event that elections with respect to obtaining such patent term restoration are to be made, Merck shall have the right to make the election and Vertex Avalon agrees to abide by such election.

In the event that elections with respect to obtaining such patent term restoration are to be made, Merck MERCK shall have the right to make a good faith election of the patent to be used. In the event MERCK does not promptly make an election and Vertex agrees of a patent for patent term restoration, NITROMED shall have the right to abide by such electionmake a good faith election of the patent to be used.
