Consider Provider as School Official The Parties agree that Provider is a “school official” under FERPA and has a legitimate educational interest in personally identifiable information from education records received from the LEA pursuant to the DPA. For purposes of the Service Agreement and this DPA, Provider: (1) provides a service or function for which the LEA would otherwise use employees; (2) is under the direct control of the LEA with respect to the use and maintenance of education records; and (3) is subject to the requirements of FERPA governing the use and redisclosure of personally identifiable information from the education records received from the LEA.
Officers and Trustees No person is serving or acting as an officer, trustee or investment adviser of the Fund except in accordance with the provisions of the 1940 Act and the Rules and Regulations and the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and the rules and regulations of the Commission promulgated under the Advisers Act (the “Advisers Act Rules and Regulations”). Carrying out of: (a) a feasibility study aimed at assessing, costing and testing the options to maximize benefits to be derived from the use of treated wastewater produced from the Greater Tunis area and transferred to rural areas; and (b) an assessment of degraded lands susceptible to being improved through the use of treated wastewater for agricultural purposes, and for adapting and mitigating the impact of climate change. 2. Development of pilot schemes to demonstrate the value and benefits to be derived from the use of treated wastewater to preserve and intensify agricultural production systems on degraded lands. Part C: Institutional Strengthening and Sensitization to Environmental Issues and IPA Methodology 1. Strengthening the capacity of institutions involved in implementation of the Project at the national, regional and local levels including RCADs and ADGs through the provision of logistical support, technical advisory services and adequate training programs. 2. Strengthening the CCU’s capacity to manage the Project efficiently including ensuring adequate monitoring and evaluation, and compliance with all safeguard measures related to implementation of the environment and social protection framework. 3. Development and execution of a communication and sensitization action plan aimed at raising awareness on environmental themes and IPA methodology.
School Official For the purposes of this DPA and pursuant to 34 CFR § 99.31(b), a School Official is a contractor that: (1) Performs an institutional service or function for which the agency or institution would otherwise use employees; (2) Is under the direct control of the agency or institution with respect to the use and maintenance of Student Data including Education Records; and (3) Is subject to 34 CFR § 99.33
Communications and Operations Management a. Network Penetration Testing - DST shall, on approximately an annual basis, contract with an independent third party to conduct a network penetration test on its network having access to or holding or containing Fund Data. DST shall have a process to review and evaluate high risk findings resulting from this testing.
Safeguards for Personal Information Supplier agrees to develop, implement, maintain, and use administrative, technical, and physical safeguards, as deemed appropriate by DXC, to preserve the security, integrity and confidentiality of, and to prevent intentional or unintentional non-permitted or violating use or disclosure of, and to protect against unauthorized access to or accidental or unlawful destruction, loss, or alteration of, the Personal Information Processed, created for or received from or on behalf of DXC in connection with the Services, functions or transactions to be provided under or contemplated by this Agreement. Such safeguards shall meet all applicable legal standards (including any encryption requirements imposed by law) and shall meet or exceed accepted security standards in the industry, such as ISO 27001/27002. Supplier agrees to document and keep these safeguards current and shall make the documentation available to DXC upon request. Supplier shall ensure that only Supplier’s employees or representatives who may be required to assist Supplier in meeting its obligations under this Agreement shall have access to the Personal Information.

Chief Financial Officer’s Certificate The Representatives shall have received on the date of this Agreement and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate of the chief financial officer of the Company in the form attached as Exhibit B hereto.
Enterprise Information Management Standards Grantee shall conform to HHS standards for data management as described by the policies of the HHS Office of Data, Analytics, and Performance. These include, but are not limited to, standards for documentation and communication of data models, metadata, and other data definition methods that are required by HHS for ongoing data governance, strategic portfolio analysis, interoperability planning, and valuation of HHS System data assets.
Officers The officers of the Company immediately prior to the Effective Time shall be the officers of the Surviving Corporation, until the earlier of their resignation or removal or until their respective successors are duly elected and qualified, as the case may be.
