Payment of Cure Amounts. Any and all Cure Amounts shall be promptly paid by the Sellers to the parties to whom and pursuant to the terms by which the Bankruptcy Court directs such payments to be made up to the aggregate amount of $365,000 and any such Cure Amounts in excess thereof shall be paid by the Purchaser.

In the event the aggregate Cure Amounts for the Assumed Agreements (including any Assumable Agreements that are, subsequent to the Execution Date, designated as Assumed Agreements) is less than Three Million Dollars ($3,000,000), Sellers shall pay to Buyer, as an adjustment to the Purchase Price, an amount corresponding to ten percent (10%) of such shortfall, in accordance with Sections 3(a) and 3(c).
