Payment of Indemnity Amount. The Seller shall pay to Buyer any Indemnity Amount within thirty (30) Days of Buyer rendering a bxxx for any Indemnity Amount to Seller, and Buyer may set-off the Indemnity Amount, in whole or in part against outstanding amounts due from Buyer to Seller. Seller may set-off the Indemnity Amount in whole or in part against any outstanding amounts due from Buyer to Seller. If Seller fails to pay any Indemnity Amount, or any portion thereof interest thereon shall accrue at the rate of interest which is equal to the Prime Rate plus one hundred (100) basis points until the same is paid during the period or time such payment remains outstanding.

Payment of Indemnity Amount. Each Indemnifying Party shall pay to each Indemnified Party, within one hundred and twenty (120) days of the date of written demand therefor (the "Due Date"), the appropriate amount is determined as provided herein, as follows: (1) Indemnification of a Loss which does not arise from a Recourse Liability shall be paid, at the option of the Indemnifying Party either (i) in cash, (ii) by transferring to the Indemnified Party Pledged Shares and other Collateral (a) having an aggregate Pledged Share Value equal to the Loss, or (b) with respect to Collateral which does not have a Pledged Share Value or a Pledged Share Value not less than the dollar value (or anticipated dollar value) of the applicable Losses, such number of Pledged Shares and other Collateral as is deemed acceptable to the Indemnified Party; provided, however, that the Indemnified Party shall be obligated to accept, as payment in full of such indemnification obligation, a tender of all of the Collateral then subject to the Stockholders' Pledge Agreement, or (iii) any combination of the foregoing. (2) Payment of a Loss which arises from a Recourse Liability shall be payable on the Due Date, (i) in cash, or (ii) with Pledged Shares having an aggregate Pledged Share Value equal to the Loss or (iii) with any combination of the foregoing. (3) In the event the Original Shareholders shall fail to make payment on the Due Date in respect of a Recourse Liability as required by this Section 2.5, then the Indemnitees may, in addition to pursuing remedies against the Original Shareholders directly (subject to Section 2.9), exercise any and all remedies with respect to the Collateral under the terms of the Stockholders' Pledge Agreement, in which case, the Original Shareholders shall be liable, in accordance with Section 2.9, for the amount of the Loss which exceeds the net proceeds realized for the Collateral after payment of all amounts required by Section 7.5 of the Stockholders' Pledge Agreement, to be allocated to the Original Shareholders whose knowledge or action (or failure to act) created such Recourse Liability.

Indemnitee’s obligation to reimburse the Company for any Expenses shall be unsecured and no interest shall be charged thereon. (ii) Subject to Section 2(b)(iii) below, if the Reviewing Party shall not have made a determination within forty-five (45) days after receipt by the Company of the request therefor, the requisite determination of entitlement to indemnification shall, to the fullest extent not prohibited by law, be deemed to have been made and Indemnitee shall be entitled to such indemnification, absent (A) a misstatement by Indemnitee of a material fact, or an omission of a material fact necessary to make Indemnitee’s statement not materially misleading, in connection with the request for indemnification or (B) a prohibition of such indemnification under applicable law; provided, however, that such 45-day period may be extended for a reasonable time, not to exceed an additional thirty (30) days, if the person, persons or entity making the determination with respect to entitlement to indemnification in good faith requires such additional time for the obtaining or evaluating of documentation and/or information relating thereto. (iii) Notwithstanding anything in this Agreement to the contrary, no determination as to entitlement of Indemnitee to indemnification under this Agreement shall be required to be made prior to the final disposition of the Claim.

  • Characterization of Indemnification Payments Except as otherwise required by Law, all payments made by an Indemnifying Party to an Indemnified Party in respect of any claim pursuant to this Section 6.5 hereof shall be treated as adjustments to the Purchase Price for Tax purposes.

  • Primacy of Indemnification The Company hereby acknowledges that the Indemnitee may have certain rights to indemnification, advancement of expenses or liability insurance provided by a third-party investor and certain of its affiliates (collectively, the “Fund Indemnitors”). The Company hereby agrees that (i) it is the indemnitor of first resort, i.e., its obligations to the Indemnitee under this Agreement and any indemnity provisions set forth in its Certificate of Incorporation, Bylaws or elsewhere (collectively, “Indemnity Arrangements”) are primary, and any obligation of the Fund Indemnitors to advance expenses or to provide indemnification for the same expenses or liabilities incurred by the Indemnitee is secondary and excess, (ii) it shall advance the full amount of expenses incurred by the Indemnitee and shall be liable for the full amount of all expenses, judgments, penalties, fines and amounts paid in settlement by or on behalf of the Indemnitee, to the extent legally permitted and as required by any Indemnity Arrangement, without regard to any rights the Indemnitee may have against the Fund Indemnitors, and (iii) it irrevocably waives, relinquishes and releases the Fund Indemnitors from any claims against the Fund Indemnitors for contribution, subrogation or any other recovery of any kind arising out of or relating to any Indemnity Arrangement. The Company further agrees that no advancement or indemnification payment by any Fund Indemnitor on behalf of the Indemnitee shall affect the foregoing, and the Fund Indemnitors shall be subrogated to the extent of such advancement or payment to all of the rights of recovery of the Indemnitee against the Company. The Company and the Indemnitee agree that the Fund Indemnitors are express third party beneficiaries of the terms of this Section 14. The Company, on its own behalf and on behalf of its insurers to the extent allowed by the policies, waives subrogation rights against Indemnitee.

  • Termination of Indemnification The obligations to indemnify and hold harmless any party, (i) pursuant to Section 8.01(a)(i) or 8.02(i), shall terminate when the applicable representation or warranty terminates pursuant to Section 8.06 and (ii) pursuant to the other clauses of Sections 8.01 and 8.02 shall survive the Closing indefinitely; provided, however, that such obligations to indemnify and hold harmless shall not terminate with respect to any item as to which the person to be indemnified shall have, before the expiration of the applicable period, previously made a claim by delivering a notice of such claim (stating in reasonable detail the basis of such claim) pursuant to Section 8.05 to the party to be providing the indemnification.
