Payment of Other Fees and Expenses. The Borrower shall have paid all out-of-pocket costs and expenses of the Administrative Agent, including the reasonable fees, charges and disbursements of counsel for the Administrative Agent, in connection with the preparation, execution and delivery of this Amendment.
Payment of Other Fees and Expenses. All costs, fees, expenses (including, without limitation, reasonable, documented, out-of-pocket legal fees) and other compensation payable to the Administrative Agent in connection with this Agreement or any other Loan Document shall have been paid (or shall be paid concurrently with the effectiveness of this Agreement).

Payment of Other Fees and Expenses. All fees and expenses required to be paid on or before the date hereof in connection with this Amendment Agreement in accordance with that certain engagement letter, dated May 12, 2011 by and among Xxxxx Fargo Securities, LLC, Xxxxx Fargo Bank, National Association, Holdings and the Borrower shall have been paid.

Payment of Other Fees and Expenses. All out-of-pocket expenses incurred by the Noteholders in connection with this Agreement and the transactions contemplated hereby, including, without limitation, all statements presented for reasonable fees and disbursements of (i) any financial, accounting or valuation advisors or special counsel retained by the Noteholders (including, but not limited to, King & Spalding, counsel to certain Noteholders) and (ii) Morgan, Lewis & Bokius, LLP special counsel to certain Noteholders, xxxxx xxxx beex xxxx by the Company.
Payment of Other Fees and Expenses. The Borrower shall have paid all (i) fees and expenses (including the reasonable fees and expenses of Xxxxxx Xxxxxx & Xxxxxxx LLP) incurred by the Lead Arranger and the Administrative Agent in connection with the preparation, negotiation and execution of this Amendment or otherwise required to be paid in connection with this Amendment (including, without limitation, all fees and expenses described in the Engagement Letter, dated on or about June 14, 2011, among the Borrower, Xxxxx Fargo Bank, National Association and the Lead Arranger) and (ii) fees due and payable to the other Arrangers and the Lenders, in each case to the extent invoiced at least one Business Day prior to the date hereof.
