Payment or Performance of Obligations. Borrower shall pay when due, and shall timely observe or perform, all Obligations in accordance with the terms thereof. The obligation of Borrower to pay, observe or perform any Obligation shall not be affected by any offset, counterclaim or occurrence whatsoever, whether against Volvo Finance or any other Person, including any damage to, loss or destruction of, or defect in, any Collateral.
Payment or Performance of Obligations. The Borrower shall (a) perform and (b) pay, discharge, or otherwise satisfy as the same shall become due and payable all of its obligations and liabilities except, in each case, to the extent the failure to pay or discharge the same could not reasonably be expected to have a Material Adverse Effect.

Grantor hereby acknowledges and agrees that the remedies set forth in this Section 5.02(j) shall be exercisable by Grantee, and any and all payments made or costs or expenses reasonably incurred by Grantee in connection therewith shall be secured hereby and shall be, without demand, immediately repaid by Grantor, notwithstanding the fact that such remedies were exercised and such payments made and costs incurred by Grantee after the filing by Grantor of a voluntary case or the filing against Grantor of an involuntary case pursuant to or within the meaning of the Bankruptcy Code, Title 11 U.S.C., or after any similar action pursuant to any other debtor relief law (whether statutory, common law, case law or otherwise) of any jurisdiction whatsoever, now or hereafter in effect, which may be or become applicable to Grantor, Grantee, the Secured Obligations or any of the Loan Documents.

  • Excuse from performance of obligations If the Affected Party is rendered wholly or partially unable to perform its obligations under this Agreement because of a Force Majeure Event, it shall be excused from performance of such of its obligations to the extent it is unable to perform on account of such Force Majeure Event; provided that: (a) the suspension of performance shall be of no greater scope and of no longer duration than is reasonably required by the Force Majeure Event; (b) the Affected Party shall make all reasonable efforts to mitigate or limit damage to the other Party arising out of or as a result of the existence or occurrence of such Force Majeure Event and to cure the same with due diligence; and (c) when the Affected Party is able to resume performance of its obligations under this Agreement, it shall give to the other Party notice to that effect and shall promptly resume performance of its obligations hereunder.
