Payment Processing and Settlement. If we accept a payment order you give us, we may receive payment by automatically deducting from any authorized account the amount of the payment order plus the amount of any expenses and charges for our services in execution of your payment order. We are entitled to payment on the payment or execution date. Unless your payment order specifies otherwise, the payment or execution date is the funds transfer date we receive the payment order. The funds transfer is completed upon acceptance by the beneficiary’s bank. Your obligation to pay your payment order is excused if the funds transfer is not completed, but you are still responsible to pay us any expenses and charges for our services. However, if you told us to route the funds transfer through an intermediate bank, and we are unable to obtain a refund because the intermediate bank that you designated has suspended payments, then you are still obligated to pay us for the payment order. You will not be entitled to interest on any refund you receive because the beneficiary’s bank does not accept the payment order.

Security Procedures: You agree that we may verify the authenticity of any payment order or communication cancelling or amending a payment order issued in your name using our security procedures in place at the time of any such order or communication. Our security procedures may (but will not necessarily) include signature verification, call back procedures, the use of identifying words or numbers and identification including but not limited to valid driver’s license, passport or other acceptable photo identification document. You affirm that you are not subject to any circumstances that are relevant to the determination of a commercially reasonable security procedure unless those circumstances are expressly set forth in a separate writing signed by us. If you refuse a commercially reasonable security procedure that we have offered you, then: (a) we will have no obligation to accept any payment order from you or any Authorized Representatives or Authorized User without your agreement with us in writing to an alternate security procedure; and

  • Clearance and Settlement Procedures (a) General Notes distributed solely within the United States shall clear and settle through the DTC System, and Notes distributed solely outside of the United States shall clear and settle through the systems operated by Euroclear, Clearstream and/or any other designated clearing system or, in certain cases, DTC.

  • CLOSING AND SETTLEMENT Seller/Landlord shall determine the title company at which settlement shall occur and shall inform Buyer/Tenant of this location in writing. Buyer/Tenant agrees that closing costs in their entirety, including any points, fees, and other charges required by the third-party lender, shall be the sole responsibility of Buyer/Tenant. The only expense related to closing costs apportioned to Seller/Landlord shall be the pro-rated share of the ad valorem taxes due at the time of closing, for which Seller/Landlord is solely responsible.

  • Payment Processing Citizens may require any other information from Vendor that Citizens deems necessary to verify any compensation request placed under this Agreement and Vendor agrees that it will provide such information as reasonably requested by Citizens. Payment shall be due net thirty (30) calendar days of Citizens’ actual receipt of a complete and undisputed invoice. Where a submitted invoice is incomplete, such as not containing the information described in this Section, Citizens will return the incomplete invoice to Vendor for correction within thirty (30) calendar days of Citizens’ actual receipt of such invoice. Where Citizens reasonably disputes any part of a complete invoice, such as the amount of the compensation request, Citizens shall pay any undisputed portion of the invoiced amount within (30) calendar days of Citizens’ actual receipt of the complete invoice and will describe the basis for the disputed portion of the invoiced amount. Where Vendor disagrees with Citizens dispute of any invoice, the Parties shall seek to resolve the dispute in accordance with the Dispute Resolution Process further described in this Agreement. In no case shall Citizens be subject to late payment interest charges where Vendor has submitted an incomplete invoice or where Citizens has reasonably disputed an invoice. Where Vendor fails to submit an invoice within twelve (12) calendar months of the Services for which compensation is being requested, Vendor acknowledges and agrees that any payment due for such Services is forfeited by Vendor for its failure to timely submit an invoice.

  • On Reconciliation and Settlement If the year-end reconciliation and settlement process demonstrates that the HSP received Funding in excess of its confirmed funds, the LHIN will require the repayment of the excess Funding.

  • Billing and Payment Procedures All invoices must be submitted electronically via email in PDF format to xxxxxxxxxx@xxx.xxx. Each email may only contain one invoice and must include Provider’s name and the CPS Purchase Order number. All invoices must include: ● Provider name and payment address ● Unique invoice number (determined by Provider) ● Valid purchase order number (only one PO number may be referenced on each invoice) ● Invoice date ● Itemized description of the Services rendered and/or goods delivered ● Date the Services were provided and/or goods were delivered to CPS ● Detail pricing information such as quantities, unit prices, discount, and final net amount due Invoices shall be submitted in a timely manner. The final invoice shall be submitted no later than ninety (90) days after the expiration or termination of this Agreement. If Provider has more than one contract with the Board, separate invoices must be submitted for each contract. The Board shall process payments in accordance with the Local Government Prompt Payment Act (50 ILCS 505/1 et seq.). The Board reserves the right to request additional information and supporting documentation necessary for the Board to verify the Services and Products provided under this Agreement.

  • Dispute Settlement Procedures (1) If a dispute relates to:

  • Commercial Settlement All the commercial settlements under this agreement shall be as per Government of Gujarat’s Solar Power Policy 2015 and Order No. 3 of 2015 dated 17.08.2015 of the Gujarat Electricity Regulatory Commission and any subsequent orders in this regard.
