Common use of Payment Recoupment and Restrictions Clause in Contracts

Payment Recoupment and Restrictions. Manager agrees and acknowledges that this Agreement and any incentive payments made or to be made hereunder are subject to the terms of any Company clawback or recoupment policy. Notwithstanding anything in this Agreement to the contrary, in no event shall any payment or benefit under this Agreement be paid, provided or accrued if such payment, provision or accrual would be in violation of applicable law, rule, regulation or court or agency order.
