PAYMENT, TRANSFER AND CUSTODY. 6.1 On the Purchase Date for each Transaction, provided each of the Transaction Conditions Precedent shall have been satisfied (or waived by the Buyer), ownership of the Purchased Assets shall be transferred to the Buyer or its designee (including the Custodian) against the simultaneous transfer of the Purchase Price to an account of Seller specified in the Confirmation relating to such Transaction. 6.2 Reserved.
