Payments by Reinsurer. ========================
Payments by Reinsurer. Reinsurer hereby agrees that all Reinsured Liabilities shall be payable by Reinsurer on the basis of the liability of the Company under the Reinsured Contracts, without diminution because of the insolvency, liquidation or rehabilitation of the Company or the appointment of a conservator, receiver, liquidator or statutory successor of the Company, directly to the Company or to its conservator, receiver, liquidator or other statutory successor.
Payments by Reinsurer. Benefits. As more fully described on Schedule B, the Reinsurer will pay the Reinsured the remaining obligation under a Contract after guaranteed withdrawals under the Contract have reduced an individual’s Contract’s account value to zero, as well as a monthly expense allowance.

In the event of insolvency, liquidation or rehabilitation of the Company, the Reinsurer hereby agrees that, as to all reinsurance made, ceded or otherwise becoming effective hereunder, the reinsurance shall be payable to the Company, or to its conservator, receiver, liquidator or statutory successor on the basis of the liability of the Company under the Reinsured SPDAs, without diminution because of the insolvency of the Company or because the conservator, receiver, liquidator or statutory successor of the Company has failed to pay all or a portion of any claim.
