Payments of Other Amounts. The payment amounts other than interest, principal and premium, if any, will be made at such time and pursuant to the methods set forth in the applicable Pricing Supplement or the applicable Global Note. Payments at Maturity. Prior to any Stated Maturity Date or other Maturity Date for any DTC Note, the Issuing and Paying Agent and the Company will, in accordance with any agreed upon procedures and the operating procedures of DTC, confirm the outstanding principal and any interest, premium or other amounts to be paid on any such Note. At maturity, the Company will pay to the Issuing and Paying Agent in immediately available funds an amount sufficient to make the Maturity Date payment, and upon receipt of such funds the Issuing and Paying Agent in turn will pay to DTC the outstanding principal amount of such Note, together with any interest, premium or other amounts due at the Maturity Date, at the times and in the manner set forth below under “Manner of Payment.” Promptly after payment to DTC of the outstanding principal and any interest, premium or other amounts due at the Maturity Date of such Note, the Issuing and Paying Agent will cause such principal amount of the Note to be debited from the relevant DTC account(s) and enter such reduction in principal amount or the full payment of such Note in its records, and the applicable Trustee will cancel such Global Note or Global Notes and/or make, or cause the Security Registrar (if other than the Trustee) to make, the appropriate entries and/or notations on a schedule to such Global Note, in each case in accordance with and pursuant to the applicable terms of the applicable Indenture. In the case of redemption or optional repayment of a portion (in increments of the minimum denomination), but less than all, of the Notes, the applicable Trustee shall either (i) issue a new Global Note, in accordance with the procedures set forth herein and in the applicable Indenture, representing the balance of the Notes not so redeemed or repaid or (ii) make, or cause the Security Registrar (if other than the Trustee) to make, an appropriate entry or notation on a schedule to such Global Note reflecting the decrease in the amount of the Notes represented thereby, in accordance with and pursuant to the applicable terms of the applicable Indenture and as provided in such Global Note. Payments of Other Amounts. (a) Pursuant to those certain letter agreements (collectively, the “Fee Letter”) dated the Closing Date between Borrower and the Administrative Agent, Borrower has promised to pay (i) to the Administrative Agent, for itself, and (ii) to each Lender, for itself, and in accordance with its Pro Rata Shares, certain amounts at the times agreed upon, and Borrower hereby repeats its promise to pay such amounts.   • Default Interest; Other Amounts Prior to the occurrence or effective designation of an Early Termination Date in respect of the relevant Transaction, a party that defaults in the performance of any payment obligation will, to the extent permitted by law and subject to Section 6(c), be required to pay interest (before as well as after judgment) on the overdue amount to the other party on demand in the same currency as such overdue amount, for the period from (and including) the original due date for payment to (but excluding) the date of actual payment, at the Default Rate. The net proceeds of any such sale shall be, subject to Sections 3.01 and 3.02, distributed or made available for distribution, as the case may be, by the Depositary to record holders of Receipts as provided by Section 4.01 in the case of a distribution received in cash.
